Welcome to Brisk Startup ("we", "our", or "us"). These Terms of Service ("Terms") govern your access to and use of our website located at briskstartup.com and all related services, tools, and information provided therein (collectively, the "Platform"). By accessing or using our Platform, you confirm that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and all applicable laws and regulations of India. If you do not agree with any part of these Terms, you must discontinue use of the Platform immediately. These Terms constitute a legally binding agreement between you and Brisk Startup in accordance with the Information Technology Act, 2000 and the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021.

To use our Platform, you must: • Be at least 18 years of age or have attained the age of majority in your jurisdiction. • Be legally competent to enter into a binding contract as per the Indian Contract Act, 1872. • Not be barred from receiving services under the laws of India or any other applicable jurisdiction. • Provide accurate, complete, and current information when registering or interacting with the Platform. If you are representing a legal entity — such as a company, partnership, or LLP registered under the Companies Act, 2013 or the Limited Liability Partnership Act, 2008 — you represent that you have the authority to bind such entity to these Terms.

3.1 Permitted Use You may use the Platform solely for lawful purposes related to exploring startup resources, government schemes, investment insights, registration guidance, and related informational content available on the Platform. 3.2 Prohibited Conduct You agree not to: • Use the Platform for any fraudulent, deceptive, or illegal purpose under Indian law. • Attempt to gain unauthorised access to any part of the Platform or its servers. • Introduce viruses, malware, or any other harmful or malicious code. • Reproduce, distribute, or publicly display any content from the Platform without prior written consent. • Use automated tools, bots, scrapers, or similar technologies to extract data from the Platform. • Misrepresent your identity or affiliation with any person or organisation. • Violate any applicable law, including but not limited to the Indian Penal Code, 1860, the Information Technology Act, 2000, or the Consumer Protection Act, 2019.

All content on this Platform, including but not limited to text, graphics, logos, icons, images, data compilations, and software, is the property of Brisk Startup or its content suppliers and is protected under the Copyright Act, 1957, the Trade Marks Act, 1999, and other applicable intellectual property laws of India. You are granted a limited, non-exclusive, non-transferable, and revocable licence to access and use the Platform for personal, non-commercial informational purposes only. You may not copy, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any material from this Platform except as permitted by these Terms. Any unauthorised use will constitute an infringement of our intellectual property rights.

If you submit, post, or share any content on or through the Platform ("User Content"), you: • Represent that you own or have the necessary rights to such content. • Grant Brisk Startup a worldwide, non-exclusive, royalty-free, sublicensable, and transferable licence to use, reproduce, distribute, prepare derivative works of, and display such content in connection with the Platform. • Agree that your User Content does not violate the rights of any third party, including copyrights, trademarks, privacy rights, or any other personal or proprietary right. We reserve the right to remove any User Content at our sole discretion, particularly content that is offensive, defamatory, misleading, or in violation of applicable laws, including the provisions of the IT Act, 2000 and the IT Rules, 2021.

Our Platform may contain links to third-party websites, government portals (such as startupindia.gov.in, mca.gov.in, or dpiit.gov.in), or external services. These links are provided for your convenience only. We do not endorse or assume any responsibility for third-party websites or services. Your use of such external links is subject to the terms and conditions of those respective websites. We strongly encourage you to review the privacy policies and terms of any third-party websites you visit. Any reliance on information from third-party sources accessed through our Platform is at your own risk.

The Platform and all its content are provided on an "AS IS" and "AS AVAILABLE" basis without any warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that: • The Platform will be uninterrupted, timely, secure, or error-free. • Any information or content on the Platform is accurate, complete, or current. • Any defects in the Platform will be corrected. Information provided on this Platform regarding government schemes, legal requirements, investment data, or startup procedures is for general informational purposes only and should not be construed as professional legal, financial, or regulatory advice. To the fullest extent permitted under applicable Indian law, Brisk Startup, its directors, employees, partners, agents, suppliers, or affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or other intangible losses, resulting from: • Your access to or use of (or inability to access or use) the Platform. • Any conduct or content of any third party on the Platform. • Unauthorised access, use, or alteration of your transmissions or content. • Any errors or omissions in the content available on the Platform. Our total liability to you for any claims arising under these Terms shall not exceed INR ₹5,000 (Indian Rupees Five Thousand Only) or the amount you paid to us in the six months preceding the claim, whichever is higher.

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the collection, storage, processing, and use of your personal data as described in our Privacy Policy. We comply with the applicable data protection obligations under the Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011, and will endeavour to comply with the Digital Personal Data Protection Act, 2023 ("DPDPA") as and when its provisions come into force. We implement reasonable security measures to protect your personal data from unauthorised access, alteration, disclosure, or destruction.

In accordance with the Information Technology Act, 2000 and the IT (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, a Grievance Officer has been designated to address any concerns or complaints related to your use of the Platform. You agree to indemnify, defend, and hold harmless Brisk Startup and its officers, directors, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to: • Your violation of these Terms. • Your use of the Platform or any content you submit. • Your infringement of any intellectual property or other right of any third party. • Any false or misleading information you provide. • Your violation of any applicable law or regulation.

We reserve the right to suspend or terminate your access to the Platform at any time, with or without notice, for any reason, including if we believe that you have violated these Terms. Upon termination: • Your right to use the Platform will immediately cease. • All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability. You may discontinue your use of the Platform at any time. Termination of your access does not relieve you of any obligations incurred prior to termination.

These Terms shall be governed by and construed in accordance with the laws of the Republic of India, without regard to conflict of law provisions. Any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, or invalidity thereof shall first be attempted to be resolved through mutual discussion and good faith negotiations within 30 (thirty) days. If the dispute cannot be resolved amicably, the parties agree to submit to the exclusive jurisdiction of the courts of New Delhi, India. Alternatively, disputes may be resolved through arbitration under the Arbitration and Conciliation Act, 1996, before a sole arbitrator mutually agreed upon by both parties, with proceedings conducted in English and the seat of arbitration being New Delhi.

We reserve the right to modify, revise, or update these Terms at any time at our sole discretion. When we make material changes, we will update the "Last Updated" date at the top of this page and, where appropriate, notify you via email or a prominent notice on the Platform. Your continued use of the Platform after any such changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically to stay informed of any updates. If you do not agree to the revised Terms, you must discontinue use of the Platform.

15.1 Entire Agreement These Terms, together with our Privacy Policy, constitute the entire agreement between you and Brisk Startup concerning the Platform and supersede all prior agreements or understandings. 15.2 Severability If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. 15.3 Waiver No failure or delay by us in exercising any right or remedy shall operate as a waiver. Any single or partial exercise shall not preclude further exercise of the same or any other right or remedy. 15.4 Language These Terms are drafted in the English language. In case of any inconsistency between the English version and any translated version, the English version shall prevail. 15.5 Force Majeure We shall not be liable for any failure to perform our obligations where such failure results from causes beyond our reasonable control, including natural disasters, governmental actions, pandemics, or technical failures.
